Acceptance of Terms: By using any service provided by Temporal Labs LLC (“Temporal Labs” or “Company”), including the Temporal Audio Processor (TAP), Temporal Video Processor (TVP), or any future AI-driven products or services (“Services”), you agree to be bound by these Terms & Conditions (“Terms”). These Terms form a binding agreement between you (the “User” or “you”) and Temporal Labs LLC. If you do not agree, you must not use the Services. Users may also be required to click “I Agree” to these Terms, which constitutes affirmative acceptance under applicable e-signature laws.
Temporal Labs reserves the right to update or modify these Terms from time to time; continued use of the Services after changes indicates your acceptance of the revised Terms.
Global Applicability: Temporal Labs is a U.S.-based venture but serves a global user base. We strive to comply with international standards, including U.S. and E.U. regulations, to the extent applicable. Users are responsible for ensuring their use of the Services is lawful in their jurisdiction. If you are located in the European Economic Area (EEA) or other regions with data protection laws, you consent to the processing and transfer of your data in and to the United States and other countries, which may have different privacy laws. We provide GDPR and CCPA-related disclosures in these Terms and in our Privacy Policy to address data subject rights and privacy protections.
“Services”: The AI-powered platforms and tools offered by Temporal Labs, including but not limited to TAP, TVP, and any related websites, APIs, applications, or future AI products.
“User”: Any individual or entity accessing or using the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization and “you” includes both you and that organization.
“Content”: Includes (a) User Content – any data, information, audio, video, text, images, or other materials you upload, provide, or process through the Services; and (b) Generated Content – any output, result, or media (audio, video, text or otherwise) produced by the Services in response to your input.
“Token”: A unit of credit or usage purchased or allocated to Users for accessing the Services. Temporal Labs uses a token-based usage system for TAP, TVP, and similar services, as described in Section 5 (Payment and Tokens).
Eligibility: You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction (18 in most U.S. states), you may use the Services only with the consent of a parent or legal guardian. By using the Services, you represent that you meet the applicable age requirement and have the capacity to enter into these Terms. Temporal Labs does not knowingly collect personal data from children under 13 without parental consent, and use by minors must be supervised to ensure compliance with these Terms.
Account Registration: Access to certain Services may require creating an account. You agree to provide accurate, current information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify Temporal Labs immediately. We may require additional information or steps to verify your identity for account security. Each account is personal to the User or organization that registered; you may not share accounts or create multiple accounts to bypass usage limits.
Account Suspension or Termination: Temporal Labs reserves the right to suspend or terminate your account or access to Services at any time if we have reason to believe that you have violated these Terms or engaged in fraudulent, abusive, or unlawful activity. We will make a good-faith effort to provide notice of suspension or termination when feasible. Upon termination, your right to use the Services will cease and any unused Tokens may be forfeited, subject to the refund policy in Section 5. We are not liable for any loss of Content or inability to use the Services due to an account suspension or termination in accordance with these Terms.
License to Use Services: Subject to your compliance with these Terms and payment of all applicable fees, Temporal Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your lawful personal or internal business purposes. All rights not expressly granted to you are reserved by Temporal Labs and its licensors. You agree not to misuse the Services or help anyone else to do so.
Prohibited Uses: You shall not use the Services, nor allow any third party to use the Services, in any manner that:
User Content Ownership: You retain all rights and ownership of your User Content. Temporal Labs does not claim ownership over the data, audio, video, images, text, or other materials you provide to our Services. You are solely responsible for your User Content, and for ensuring that you have all necessary rights to use, upload, and share such content in connection with the Services. By uploading or providing any User Content, you represent and warrant that you have the legal right to do so, and that such content does not violate any of the Prohibited Uses in Section 3.
License to Temporal Labs: In order to operate the Services, you grant Temporal Labs a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, transmit, and display your User Content only for the following purposes: (a) to provide and maintain the Services (e.g., processing your data through our AI models to generate the requested output and storing it as needed for performance or user experience), (b) to improve and develop our Services and AI models if and only if you give us explicit permission (for example, we may ask if we can use an anonymized version of your input/output to train better models; you will have the ability to opt in or out), and (c) as otherwise required by law or permitted by these Terms or our Privacy Policy. We will not use your uploaded content or generated results for marketing or publicity, or share them with third parties, without your consent, except in an aggregated or anonymized form. For clarity, this license to Temporal Labs is solely to enable us to technically provide the Services to you and make legitimate improvements; it does not transfer ownership of any intellectual property in your User Content to us.
Generated Content: The outputs produced by the Services based on your inputs (“Generated Content”) are intended for your use. Temporal Labs makes no claim of ownership over the Generated Content that our AI produces for you. To the extent that any intellectual property rights exist in the Generated Content (apart from the portion that is derived from your own User Content), Temporal Labs hereby assigns to you any rights it may have in such Generated Content. This assignment is subject to your compliance with these Terms and is limited to the content that the Services autonomously generated for you; it does not apply to underlying model weights or algorithms, which remain the property of Temporal Labs or its licensors. Important: While we strive to ensure outputs are unique and not infringing, we do not guarantee that Generated Content will be free of third-party claims. You are responsible for reviewing Generated Content for potential infringements or other issues before use. Temporal Labs disclaims liability for any third-party claims arising from your use of Generated Content.
Company Intellectual Property: All rights, title, and interest in and to the Services, including without limitation the software, algorithms, AI models, websites, interfaces, documentation, logos, trademarks, service marks, and trade secrets, are and will remain the exclusive property of Temporal Labs and/or its licensors. These are protected by intellectual property laws and international treaties. You are granted no ownership or proprietary rights in these, and you may not use the Temporal Labs name, logos, or other trademarks without our prior written consent. Any feedback or suggestions you provide regarding the Services (e.g., bug reports, feature requests) may be used by Temporal Labs without obligation to you, and you hereby grant us a perpetual, royalty-free license to use and incorporate such feedback into our products or services.
Token-Based Usage: Temporal Labs operates on a token-based service logic for certain AI services (such as TAP and TVP). Tokens function as prepaid credits that allow you to access processing time or features. For example, you may need to spend a certain number of Tokens to process a minute of audio through TAP or to generate a specified length of video via TVP. The rate of Token consumption for each Service (e.g., Tokens per minute of processed media or per operation) will be disclosed in the Service description or pricing page. By purchasing or using Tokens, you obtain a limited, non-transferable, revocable right to access the designated Service functionality until the Token value is depleted or expires, subject to these Terms. Tokens are not digital currency, securities, or legal tender; they are simply measurement units for service usage with no value outside of the Services.
Purchasing Tokens: You may purchase Token packages via the methods we provide (such as credit card or other payment processors). All payments are due immediately upon order (unless a separate written contract allows invoicing). Prices will be indicated in USD or other available currencies, exclusive of any taxes or fees (unless otherwise stated). You are responsible for any sales, use, VAT, or similar taxes applicable to your purchase. We reserve the right to adjust Token pricing and packages over time (for instance, during promotions or if service costs change), but any such change will not retroactively affect Tokens you already purchased.
Token Usage and Expiration: Once purchased, Tokens will be credited to your account and available for use. Tokens may have an expiration date if stated at purchase (e.g., promotional Tokens might expire after a set period); otherwise, standard purchased Tokens do not expire and remain in your account until used.
Non-Transferability: Tokens are tied to your account and cannot be transferred or resold to another person or account without our consent. Any attempt to transfer Tokens in violation of this rule may result in cancellation of the Tokens or account termination.
Insufficient Tokens: If you initiate an operation that requires more Tokens than you have, the Service may either refuse to proceed or prompt you to top-up your balance. Temporal Labs is not obligated to complete any request for which the required Tokens have not been paid.
Subscription or Retainer Plans: In addition to pay-as-you-go Tokens, Temporal Labs may offer subscription plans or retainer agreements (for example, a monthly plan for pioneer clients) where, for a recurring fee, you receive a bundle of Tokens or services each period. Such arrangements will have their own specific terms (e.g., number of Tokens per month, rollover policy, renewal and cancellation terms) provided at sign-up. In case of any conflict, those specific plan terms will supplement or override this Section. We emphasize long-term partnerships; for instance, Pioneer Program clients pay an upfront and monthly fee to fund the development of tailored AI solutions, and may receive discounted rates or bonus Tokens as part of that partnership. If you enter a custom contract with us (e.g., an enterprise agreement), the payment terms of that contract will apply.
Refund Policy: Except as required by law or expressly provided in a specific offer, all sales of Tokens or subscriptions are final and non-refundable. We reserve the right to consider refund requests on a case-by-case basis in extenuating circumstances (e.g., if a prolonged service outage entirely prevented you from using purchased Tokens). Any approved refunds will typically be granted in the form of Token credits (or extension of subscription period), not cash, unless a cash refund is required by law. If you are a consumer in a jurisdiction with laws granting cancellation rights (such as the EU 14-day “cooling off” for digital purchases), we will honor your statutory rights, but note that if you begin using the digital service within the cancellation period, you may lose the right to cancel and/or we may deduct the value of service used from any refund as permitted by law.
Delinquent Accounts: If any fee charged to your payment method is declined or fails, or if you otherwise fail to pay fees due, we may, at our discretion, suspend or revoke your Tokens and access to Services. You agree to reimburse us for any collection costs incurred. We may also charge interest on overdue amounts at the lesser of 1.5% per month or the maximum allowed by law.
Promotions and Free Credits: Temporal Labs may occasionally offer free trial uses, promotional Tokens, or discounts. Such offers are subject to these Terms as well. Free trial Tokens may be subject to additional restrictions (e.g., they might expire if not used within a certain time, or be limited to certain features). We reserve the right to modify or withdraw promotional offers at any time.
Privacy Policy: Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with the Services are described in our Privacy Policy (available on our website). By using the Services, you acknowledge that you have read and understood the Privacy Policy. Key points include: what data we collect (e.g., account information, content metadata, usage logs), how we use and share data (to operate the Service, communicate with you, comply with law, or with your consent for testimonials, etc.), and your rights regarding your personal data. We will not sell your personal information to third parties (in the meaning of “sell” under CCPA); and we implement privacy-by-design principles reflecting Dallas Urban’s commitment to data privacy advocacy.
Data Security: We implement reasonable and appropriate security measures to protect your data. However, no system is perfectly secure. You acknowledge that the transmission and storage of data involve risks, and we cannot guarantee absolute security. In the event of a data breach affecting your personal data, we will notify you and any applicable authorities as required by law. You should also take steps to secure your account (choose a strong password, protect login credentials, etc.). Temporal Labs will not be responsible for any unauthorized access or alteration to your Content arising from your own acts or omissions.
Data Processing and Compliance: If we process personal data on your behalf as part of providing the Services (e.g., if you upload a file containing personal data of third parties), and if required by law, we can enter into a separate Data Processing Agreement (DPA) to govern such processing under GDPR or similar laws. Generally, for GDPR, you are the data controller of any personal data you supply, and Temporal Labs is a data processor acting on your instructions. We will: (a) process personal data only for providing the Services and in accordance with your instructions and applicable law; (b) use appropriate technical and organizational measures to protect personal data; (c) ensure our personnel accessing personal data are bound by confidentiality; (d) inform you if we receive a data subject request regarding data you provided; and (e) upon termination of your account, delete or return personal data per our retention policy or your instruction, unless required by law or for legitimate business purposes. By using the Services, you consent to such processing and warrant that you have obtained all necessary consents from data subjects or have another valid legal basis to transfer the data to us. If you are a California resident using our Services, please refer to the Privacy Policy for additional CCPA disclosures about your rights.
Data Retention: Temporal Labs will retain your User Content and personal information for as long as necessary to fulfill the purposes of the Service or as required by law. If you delete Content or if your account is terminated, we will endeavor to remove or anonymize the data within a reasonable period. However, you acknowledge that residual copies of data (e.g., in backups or logs) might remain for a short time. Where feasible, we will pseudonymize or encrypt sensitive data at rest. For Generated Content, we generally do not store it longer than needed to deliver it to you, unless you save it in your account or it’s necessary for dispute resolution or improving the Service (with consent).
International Users: If you are located outside the United States, you understand and consent that your data may be transferred to and processed in the U.S. or other countries. The privacy laws in these jurisdictions might not be as protective as those in your country. Temporal Labs will handle your personal data in accordance with the EU-U.S. and Swiss-U.S. Privacy Shield principles or Standard Contractual Clauses, as applicable, to provide an adequate level of data protection. Service Availability: We strive to keep the Services running optimally and reliably. However, uptime is not guaranteed. The Services may occasionally be unavailable for scheduled maintenance or upgrades, or unexpectedly due to technical issues or force majeure events. Temporal Labs will attempt to schedule maintenance during low-usage times and, when possible, will provide advance notice for scheduled downtime via our website or email. You acknowledge that AI processing can be resource-intensive; during peak times, you may experience slower responses or temporary queueing. We are continuously improving our infrastructure to scale capacity as needed, but some delays or interruptions are possible, especially as a growing startup with limited IT infrastructure.
Service Modifications: Temporal Labs reserves the right to change, suspend, or discontinue any aspect of the Services at any time. This may include adding or removing features, imposing usage limits, changing algorithms or model versions, or retiring a service entirely. We will endeavor to notify users of major changes via our website, email, or in-service notification. If a discontinuation of a Service significantly affects purchased Tokens, we will provide an equitable solution such as conversion to equivalent value in another service or a refund of the remaining Token value. However, we are not liable for changes that are part of the normal evolution of our Services. Your continued use of the Services after changes are implemented constitutes acceptance of those changes.
Beta Features: From time to time, we may offer beta or experimental features/services, which will be identified as such. These beta services are provided “as is” for evaluation and feedback, may not be as reliable or available as our main offerings, and may be discontinued or modified at any time. Your use of beta features is voluntary, and you understand that any data processed in a beta feature might not be fully recoverable. We welcome feedback on beta features and may use it without obligation.
Support: Temporal Labs currently offers support primarily via automated agents and email. Given our small team, we augment our support with AI agents to ensure timely responses. We aim to address user inquiries or issues as quickly as possible, typically within 1-2 business days. Support is provided in English. We do not guarantee any specific response or resolution time unless you have a separate support SLA with us. For any technical difficulties or account issues, you can reach us at the contact in Section 13.
AI Outputs and Accuracy: You understand that the Services employ artificial intelligence and machine learning techniques, which are not 100% accurate or reliable. Temporal Labs makes no warranty that the outputs (Generated Content) will meet your expectations, be fit for a particular purpose, or be error-free. The AI may hallucinate or produce incorrect or misleading information, and it may not detect or filter all inappropriate content. By using the Services, you assume the risk of receiving inaccurate, unintended, or offensive output. Temporal Labs advises you to review and validate any Generated Content before relying on it for important matters. Specifically, do not use outputs from TAP, TVP, or any AI service as the sole basis for decisions that could result in harm, loss, or legal consequences.
No Professional Advice: Unless explicitly advertised, the Services do not provide professional advice (e.g., legal, medical, financial). Any information or content generated by the AI should be considered informational only, and not a substitute for expert advice. Temporal Labs disclaims any liability for actions you take based on the information obtained from the Services.
Warranty Disclaimer: To the fullest extent permitted by law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and without warranty of any kind. Temporal Labs and its suppliers or licensors expressly disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing. We do not warrant that the Services will be uninterrupted, secure, or free of errors, viruses, or other harmful components, or that any content will be secure or not lost or damaged. You acknowledge that internet and cloud-based services have inherent risks and we are not responsible for delays, delivery failures, or other damages resulting from such issues.
Liability Limitation: Temporal Labs (and its officers, directors, employees, agents, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or in connection with your use of (or inability to use) the Services, whether under contract, tort, statute, or any other theory of liability, even if Temporal Labs has been advised of the possibility of such damages. To the extent that any liability is not legally excludable, Temporal Labs’ total cumulative liability to you for any claims shall not exceed the amount you have paid to Temporal Labs in the three months immediately preceding the claim (or, if greater, USD $100). The existence of multiple claims will not enlarge this limit. This limitation is an essential part of the bargain and without it the terms and pricing provided would be different. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitations shall apply to the maximum extent permitted by law.
Specific Risk Disclaimers:
You agree to indemnify, defend, and hold harmless Temporal Labs LLC and its officers, directors, employees, and agents (the “Indemnified Parties”) from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (a) your violation of these Terms or any law; (b) your infringement of any rights of a third party through your use of the Services or Content you provide; (c) your misuse of the Services, including any use that leads to legal claims; or (d) any dispute between you and any third party arising from your use of the Services.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you. This indemnity obligation will survive any termination or expiration of your relationship with Temporal Labs and these Terms.
Example: If you use TAP to process a copyrighted song without permission and then face a claim, or if you create a video with TVP that defames someone and they sue, you may be required to cover any costs or damages incurred by Temporal Labs. Similarly, if a regulator fines Temporal Labs because of how you processed personal data in violation of GDPR, you would indemnify us.
To the extent permitted by law, if you have any claim or dispute with Temporal Labs arising from your use of the Services, your sole remedy shall be to discontinue using the Services. If you have purchased Tokens or a subscription and are dissatisfied, you may request a refund of unused Tokens or terminate your subscription—but no further remedies will be available. You release Temporal Labs and its Indemnified Parties from any past, present, or future claims arising from your use of the Services. If you are a California resident, you waive California Civil Code §1542.
Governing Law: These Terms and any dispute arising from them or the Services will be governed by the laws of the State of Utah, USA, and the federal laws of the United States. If you are a consumer in the EEA or another jurisdiction with mandatory consumer protections, you may have additional rights.
Jurisdiction and Venue: Any legal action arising under these Terms will be brought exclusively in the federal or state courts in Utah County, Utah. Both parties consent to the jurisdiction and venue of these courts.
Dispute Resolution; Arbitration: For users in the United States, any dispute arising from these Terms or the use of the Services that cannot be resolved amicably shall be resolved by binding arbitration on an individual basis in accordance with the rules of the American Arbitration Association (AAA) under its Consumer Arbitration Rules. No Class Actions: Arbitration will be conducted solely on an individual basis and not as a class action. The arbitration will take place in Utah (or, if you prefer, in your county of residence), and the arbitrator’s award shall be final and binding.
Exceptions: Notwithstanding the arbitration clause, either party may bring an individual action in small claims court or seek injunctive or equitable relief in a court of competent jurisdiction.
Opt-Out: If you do not wish to resolve disputes by binding arbitration, you may opt out within 30 days of accepting these Terms by contacting us in writing. The opt-out applies only to the arbitration provision.
Temporal Labs may amend these Terms & Conditions from time to time. When changes are made, we will post the updated Terms on our website and update the “Last Updated” date at the top. For significant changes, we may also provide a more prominent notice (such as an email notification). It is your responsibility to review the Terms periodically. By continuing to use the Services after new Terms become effective, you agree to the revised Terms. If you do not agree, you must stop using the Services and may request termination of your account and a pro-rated refund of any unused paid Tokens as allowed by Section 5.
Entire Agreement: These Terms, along with any referenced documents (such as the Privacy Policy), constitute the entire agreement between you and Temporal Labs regarding the Services and supersede all prior agreements or understandings.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified or severed as necessary.
No Waiver: No failure to enforce any provision of these Terms shall be deemed a waiver of that provision or any other provision. Any waiver must be in writing and signed by the waiving party.
Assignment: You may not assign these Terms or your rights hereunder without our prior written consent. Temporal Labs may assign these Terms without your consent, and these Terms will bind and inure to the benefit of the parties and their successors.
Relationship of Parties: You and Temporal Labs are independent contractors, and nothing in these Terms shall create a joint venture, partnership, employment, or agency relationship.
Force Majeure: Temporal Labs will not be liable for any failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, power or internet outages, war, civil disturbance, pandemics, strikes, governmental actions, or third-party service failures. We will use reasonable efforts to mitigate such events and resume performance as soon as possible.
Notices: Temporal Labs may provide notices via email, through the Services, or by other means. You are responsible for keeping your contact information current. Official notices should be sent via email to legal@temporallab.com (with “Legal Notice” in the subject) and via certified mail to our registered business address (provided upon request). Email notices are deemed received only upon our written acknowledgment.
